REGENT TERMS

These Terms and Conditions govern access to and use of Regent, the AI content creation, avatar generation, voice, automation, analytics, and social publishing service made available through heyregent.com, app.heyregent.com, and related Regent-operated interfaces.

Regent is the service. `heyregent.com` is the website where it is offered.

1. Scope and Definitions

These Terms and Conditions govern your access to and use of Regent, the software service, website, workflows, media generation tools, integrations, and related interfaces made available through heyregent.com and any related subdomains, applications, or interfaces we operate.

In these Terms, “Regent,” “we,” “us,” and “our” refer to the Regent service and platform. “You” and “your” refer to the person or entity using Regent. “User Content” includes any photo, likeness, image, video, audio, voice sample, text, prompt, caption, brand input, account connection, scheduling instruction, or other material you upload, submit, connect, generate, or publish through Regent.

By accessing or using Regent, you agree to these Terms. If you do not agree, do not use Regent.

2. Eligibility and Accounts

  • You must be legally capable of entering into a binding agreement to use Regent.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
  • You must provide accurate information when creating an account or connecting external services.
  • If you use Regent on behalf of a business, agency, or other organization, you represent that you have authority to bind that organization to these Terms.

3. Service Features and Third-Party Services

Regent may provide account onboarding, profile analysis, competitor research, content planning, caption generation, image and avatar generation, voice cloning or speech synthesis, reel or video workflows, account analytics, social publishing, scheduling, comment or DM automation, and related tools.

Regent relies on third-party providers and infrastructure to operate some features. These may include authentication providers, storage and database providers, AI generation vendors, speech and voice vendors, social platform APIs, analytics providers, and research, scraping, enrichment, or workflow automation providers, as well as successor or alternative providers we may use from time to time.

Third-party services are outside our direct control. Their availability, policies, technical requirements, moderation decisions, output quality, and outages may affect Regent’s performance.

4. User Content, Ownership, and Rights You Grant

Your ownership and responsibility

As between you and Regent, you retain whatever rights you have in User Content you lawfully upload or submit. However, you are solely responsible for ensuring that you have all rights, licenses, permissions, releases, and consents necessary for that User Content and for any use you direct through Regent.

License to operate the service

You grant Regent a worldwide, non-exclusive, royalty-free license to host, store, reproduce, adapt, transmit, process, display, generate derivatives from, and otherwise use your User Content as necessary to operate, improve, secure, troubleshoot, and provide Regent and the features you request.

Your warranties

  • You represent and warrant that you own or control all rights necessary for any photo, likeness, image, voice, audio, video, script, caption, prompt, or publishing instruction you upload or use through Regent.
  • You represent and warrant that use of your User Content through Regent will not infringe, misappropriate, violate, or otherwise conflict with any copyright, trademark, privacy, publicity, contract, data protection, or other rights of any person or entity.
  • If any User Content includes another person’s likeness, voice, identity, brand asset, or personal information, you represent and warrant that you have that person’s or entity’s legally sufficient authorization and consent.

5. AI Avatar, Voice, and Synthetic Media Rules

Regent includes or may include features that generate or modify synthetic media using uploaded photos, likenesses, voice samples, prompts, and other inputs. These features are sensitive and higher risk. You may use them only if you have all rights and permissions required for the specific media and use case.

  • You may not upload or use another person’s face, photo, likeness, or voice without valid authorization and consent.
  • You may not use Regent to impersonate, defraud, harass, deceive, exploit, or create misleading synthetic media involving any real person or entity.
  • You understand that some third-party voice providers impose stricter rules than Regent and may permit cloning only of your own voice or only with explicit documented consent.
  • You understand that synthetic outputs may be inaccurate, distorted, low quality, inconsistent with your inputs, or unsuitable for commercial or platform use.

Regent does not verify the authenticity of every uploaded photo, voice, or permission claim. You, not Regent, are solely responsible for the legality of the media you submit and the outputs you generate.

6. Instagram, Meta, and External Platform Features

If you connect Instagram, Meta, or any other external account, you authorize Regent to access, receive, store, and use account data, profile data, media data, publishing permissions, comments, messages, insights, and other information necessary to provide the features you request.

  • You are solely responsible for all content you publish, schedule, automate, or cause to be posted through Regent.
  • You are solely responsible for compliance with Meta, Instagram, and any other platform’s terms, community guidelines, automation rules, API requirements, ad rules, and publishing policies.
  • Regent does not guarantee successful publishing, account reach, engagement, deliverability, non-removal, monetization, or platform approval.
  • External platforms may block, throttle, reject, remove, demonetize, or restrict content or account access at any time, including content created or scheduled through Regent.

7. Acceptable Conduct

You may not use Regent to:

  • upload or generate content that is unlawful, infringing, defamatory, fraudulent, or deceptive;
  • impersonate any person, public figure, creator, business, or brand without authorization;
  • use another person’s photo, voice, or identity without the rights required for that use;
  • violate any platform’s API rules, automation policies, or access restrictions;
  • attempt to reverse engineer, scrape, disrupt, overload, or interfere with Regent or its providers;
  • upload malicious code, spam, harmful automation, or materials that could compromise the service;
  • use Regent in a way that violates privacy, publicity, intellectual property, or consumer protection laws.

8. Disclaimers and No Guarantees

Regent is provided on an “as is” and “as available” basis to the fullest extent permitted by law. Regent and its third-party dependencies may change, fail, degrade, or produce incomplete or inaccurate outputs.

  • We do not guarantee that AI-generated images, voices, captions, scripts, reels, or insights will be accurate, lawful, original, safe to publish, or fit for your intended purpose.
  • We do not guarantee uninterrupted availability, uptime, or error-free service.
  • We do not guarantee growth results, engagement results, publishing success, account safety, or business performance.
  • We do not guarantee that external providers or platforms will continue supporting any feature, format, API scope, or workflow used by Regent.

9. Liability Limits and Indemnity

Limitation of liability

To the maximum extent permitted by law, Regent and its operators, contractors, licensors, and service providers will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, business opportunity, brand value, or platform access arising out of or relating to Regent, even if advised of the possibility of such damages.

To the maximum extent permitted by law, Regent’s total aggregate liability arising out of or relating to these Terms or Regent will not exceed the greater of: (a) the amount you paid Regent, if any, during the three months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100).

Indemnity

You agree to defend, indemnify, and hold harmless Regent and its operators, contractors, and service providers from and against any claims, demands, investigations, actions, damages, losses, liabilities, judgments, settlements, costs, and expenses, including reasonable legal fees, arising out of or relating to:

  • your User Content or any alleged infringement, privacy violation, publicity-right violation, or misuse of likeness or voice arising from it;
  • your use of AI avatar, voice, social publishing, or automation features;
  • your violation of these Terms, any applicable law, or any platform policy;
  • any allegation that you uploaded or used a third party’s photo, voice, identity, or content without authorization.

10. Suspension and Termination

We may suspend, restrict, remove, disable, or terminate your access to Regent, your content, or any feature at any time, with or without notice, if we believe that:

  • you violated these Terms or any related policy;
  • your use creates legal, operational, security, provider, or reputational risk;
  • a third-party provider or platform requires us to disable access;
  • we need to protect Regent, our users, our providers, or third parties.

We may also remove content, revoke feature access, or refuse publishing actions if we believe the content, upload, likeness, voice, or use case is unauthorized, risky, or non-compliant.

11. General Terms

Changes

We may update these Terms from time to time. Updated versions become effective when posted unless a later effective date is stated. Your continued use of Regent after an update means you accept the updated Terms.

Entire agreement

These Terms, together with any linked policy or consent flow incorporated by reference, form the entire agreement between you and Regent regarding the service.

Severability and waiver

If any provision is held unenforceable, the remaining provisions remain in effect. Any failure by Regent to enforce a provision is not a waiver.

Governing law

These Terms will be interpreted and enforced to the maximum extent permitted by applicable law in the jurisdiction governing the Regent service relationship with you. If a specific governing law, venue, or contracting entity is later identified in an updated published version of these Terms, that updated version will apply prospectively from its effective date.
